Acceptable Use Policy

This Acceptable Use Policy ("Policy") governs the use of the MustHave Essential Ltd website, mobile applications, marketplace, vendor accounts, customer accounts, products, services, and related digital platforms (collectively, the "Platform"). MustHave Essential Ltd ("MustHave Essential", "we", "us", or "our") operates an online marketplace through which independent vendors ("Vendors") can list and offer products for sale to customers ("Customers"). By accessing or using the Platform, you agree to comply with this Policy, our Terms and Conditions, and all applicable laws and regulations.
1. Our Marketplace
MustHave Essential provides an online marketplace that connects Customers with independent Vendors. Vendors are responsible for the products they list and sell through the Platform, including the accuracy of product information, availability, pricing, product quality, lawful sale of the products, packaging, and fulfilment obligations applicable to their listings. Unless expressly stated otherwise on a particular product listing, the Vendor is the seller of the product purchased by the Customer.
2. Customer Use
Customers may use the Platform to:
- Browse products offered by Vendors
- Compare products and prices
- Place legitimate orders
- Make payments for products
- Track orders where tracking is available
- Communicate regarding an order
- Request returns, refunds, cancellations, or other remedies in accordance with applicable policies
- Provide genuine feedback or reviews
Customers must provide accurate information when creating an account, placing an order, or communicating with MustHave Essential or a Vendor.
3. Vendor Use
Vendors may use the Platform to:
- Create an approved Vendor account
- Submit products for listing
- Provide product descriptions, images, prices, availability, and other required information
- Receive and fulfil legitimate customer orders
- Communicate with Customers regarding orders where permitted
- Receive eligible settlement payments through the approved settlement process
Vendor accounts are subject to our onboarding, verification, compliance, and marketplace requirements. MustHave Essential may request additional information or documentation from a Vendor before or after approval.
4. Vendor Verification
MustHave Essential may conduct identity, business, product, payment, fraud, and compliance checks before approving a Vendor or allowing particular products to be listed. Depending on the Vendor and applicable requirements, we may request:
- Government-issued identification
- Business registration information
- Business address and contact information
- Bank account information
- Product information and certification/regulatory documentation where applicable
- Other information reasonably required for marketplace risk and compliance purposes
We may suspend or reject a Vendor or product where information provided is incomplete, inaccurate, unverifiable, misleading, or otherwise presents a material compliance or consumer-protection concern.
5. Prohibited Activities
Users must not use the Platform to:
- Commit or facilitate fraud
- Sell counterfeit, stolen, prohibited, or unlawful products
- Sell products without the required authorization, licence, registration, certification, or approval where applicable
- Provide false or misleading product information
- Manipulate product reviews, ratings, orders, or sales figures
- Use stolen or unauthorized payment information
- Create multiple accounts to evade restrictions
- Circumvent marketplace fees or commissions
- Attempt to conduct fraudulent transactions
- Upload malicious software, viruses, or harmful code
- Attempt unauthorized access to another user's account or our systems
- Interfere with the operation or security of the Platform
- Scrape, copy, harvest, or commercially exploit Platform data without authorization
- Use bots or automated systems without our prior authorization
- Harass, threaten, defraud, or abuse another user
- Circumvent our dispute, return, refund, verification, or enforcement procedures
- Use the Platform for money laundering or other unlawful financial activity
- Engage in any activity that violates applicable Nigerian law
6. Product Listings
Vendors are responsible for ensuring that their product listings are accurate and complete. Product listings must not contain false claims, misleading photographs, incorrect specifications, misleading pricing, false discounts, fake reviews, misrepresentation of product origin or condition, or other information likely to mislead Customers. Where products are used, refurbished, reconditioned, imported, customized, or otherwise materially different from new products, Vendors must disclose this information clearly where applicable.
7. Pricing
Vendors are responsible for providing accurate product prices. MustHave Essential may display applicable marketplace charges, delivery fees, taxes, promotions, discounts, or other charges separately where applicable. The total price payable by the Customer should be clearly presented before the transaction is completed.
8. Payments
Customers must use authorized payment methods. MustHave Essential may use third-party payment processors to process marketplace transactions. Customers and Vendors must not attempt to circumvent approved payment channels where doing so would violate marketplace rules, payment-provider requirements, or applicable law.
9. Vendor Commission
MustHave Essential may charge Vendors a commission or other agreed marketplace fee on qualifying transactions. The applicable commission or fee structure will be communicated to Vendors through the relevant Vendor agreement, marketplace terms, dashboard, or other applicable documentation. MustHave Essential may deduct applicable commissions, fees, adjustments, refunds, or other authorized amounts before settling eligible proceeds to a Vendor.
10. Orders and Fulfilment
Vendors are responsible for fulfilling orders for products they sell through the Platform unless MustHave Essential expressly agrees to fulfil a particular order or category of products. Vendors must maintain accurate stock information, process orders within the applicable timeframe, package products appropriately, provide accurate delivery information, cooperate with delivery partners where applicable, and respond appropriately to legitimate customer complaints.
11. Reviews and Feedback
Customers may provide genuine reviews and feedback based on their actual experience. Users must not submit fake reviews, review products they have not purchased or experienced where purchase verification is required, offer compensation for misleading reviews, threaten another user to obtain a favourable review, or manipulate ratings. MustHave Essential may remove content that violates our policies or applicable law.
12. Account Suspension
MustHave Essential may restrict, suspend, or terminate an account where we reasonably believe that the user violated this Policy, engaged in fraud, provided materially false information, listed prohibited products, failed to fulfil orders, abused the returns or refunds process, attempted to circumvent marketplace fees, created a significant consumer or payment risk, or violated applicable law. Where appropriate, we may also remove affected listings or suspend transactions.
13. Reporting Violations
Customers and Vendors may report suspected fraudulent, unlawful, unsafe, counterfeit, or otherwise prohibited activity to MustHave Essential. We may investigate reports and request additional information where reasonably necessary.
14. Privacy
MustHave Essential processes personal information in accordance with applicable data-protection requirements and our Privacy Policy. The Nigeria Data Protection Act 2023 establishes the framework governing the processing of personal data in Nigeria, including rights of data subjects and obligations concerning lawful and accountable processing.
15. Changes to this Policy
MustHave Essential may update this Policy periodically. Where material changes are made, we may provide notice through the Platform or other appropriate communication channels.
