1. About MustHave Essential

MustHave Essential Ltd operates an online marketplace through which independent Vendors can offer products to Customers. MustHave Essential provides the technology, marketplace infrastructure, payment facilitation, order information, customer-support mechanisms, and other services necessary to operate the Platform. Unless expressly stated otherwise, MustHave Essential is not the manufacturer of products listed by independent Vendors and is not the seller of those products. The Vendor identified on the applicable product listing is responsible for the sale and fulfilment of the product.

2. Acceptance of These Terms

By accessing, registering for, or using the Platform, you agree to these Terms and Conditions. If you do not agree with these Terms, you should not use the Platform.

3. Marketplace Transactions

When a Customer purchases a product through the Platform, the Customer is purchasing that product from the applicable Vendor. MustHave Essential facilitates the marketplace transaction. The Vendor is responsible for product accuracy, availability, quality, legality, fulfilment, packaging, delivery arrangements, applicable warranties, and compliance with applicable laws and marketplace requirements. MustHave Essential may assist with customer support and dispute resolution.

4. Product Information

We require Vendors to provide accurate product information. However, because product information is supplied by Vendors, MustHave Essential does not independently guarantee that every Vendor listing is accurate, complete, current, or error-free. We may correct, restrict, suspend, or remove listings where we identify an issue.

5. Prices

Prices are displayed on the Platform based on information supplied by Vendors and applicable marketplace arrangements. The amount payable by the Customer may include the product price, delivery charges, applicable taxes, or other disclosed charges. MustHave Essential may offer discounts, promotions, or marketplace incentives subject to applicable terms.

6. Orders

Submitting an order constitutes a request to purchase the selected product. An order may be rejected, cancelled, or unavailable where the product is unavailable, the Vendor cannot fulfil the order, there is a pricing or listing error, payment cannot be confirmed, fraud or unauthorized activity is suspected, the product violates marketplace requirements, or other legitimate circumstances require cancellation. Where a refund is due, it will be handled in accordance with our Returns & Refund Policy.

7. Payments

Payments are processed through approved payment channels. Customers must use payment methods that they are authorized to use. MustHave Essential may use third-party payment processors and financial-service providers to process marketplace transactions and Vendor settlements.

8. Vendor Commission and Marketplace Revenue

MustHave Essential may generate revenue through commission charged to Vendors, product or transaction markups where applicable, promotional or advertising services, service fees, or other lawful commercial arrangements. The applicable Vendor commission or fee will be governed by the Vendor's agreement with MustHave Essential.

9. Vendor Settlement

Eligible Vendor proceeds may be settled to the verified payout account supplied by the Vendor. MustHave Essential may deduct applicable commissions, refunds, chargebacks, fees, adjustments, penalties where contractually permitted, or other amounts owed before settlement. Settlement may be delayed where reasonably necessary to investigate fraud, disputes, refunds, chargebacks, compliance concerns, or other transaction risks.

10. Delivery

Products are generally fulfilled and shipped by the Vendor. Delivery arrangements, timelines, and charges may vary between Vendors and products. Customers should review applicable shipping information before completing an order.

11. Returns and Refunds

Returns, cancellations, replacements, and refunds are governed by the MustHave Essential Returns & Refund Policy and any applicable product-specific terms. Where a Vendor is responsible for a product issue, MustHave Essential may facilitate resolution between the Customer and Vendor.

12. Customer Accounts

Customers must provide accurate information when creating an account and are responsible for maintaining the security of their login credentials. Accounts must not be sold, transferred, or used for fraudulent purposes.

13. Vendor Accounts

Vendors must provide accurate onboarding, identity, business, bank-account, and product information, and must keep their information current. MustHave Essential may request additional verification at any time.

14. Intellectual Property

Unless otherwise stated, the MustHave Essential name, branding, website design, software, text, graphics, logos, and other Platform content belong to MustHave Essential or its licensors. Users may not reproduce or commercially exploit our intellectual property without authorization. Vendors grant MustHave Essential permission to use Vendor-provided product names, descriptions, photographs, trademarks, and related content for the purpose of operating, marketing, and promoting the Vendor's listings and the marketplace, subject to the Vendor Agreement.

15. Third-Party Services

The Platform may rely on third-party services, including payment processors, logistics providers, technology providers, communication services, and other service providers. Their services may be subject to their own terms.

16. Fraud and Security

MustHave Essential may investigate transactions that appear suspicious or fraudulent. We may request additional information, delay a transaction, cancel an order, restrict an account, or take other appropriate measures where reasonably necessary.

17. Suspension and Termination

MustHave Essential may suspend or terminate access where a Customer or Vendor violates these Terms, engages in fraud, provides materially false information, repeatedly fails to fulfil obligations, lists prohibited products, abuses refunds or chargebacks, attempts to circumvent marketplace fees, or creates a material risk to the Platform or other users.

18. Limitation of Marketplace Role

MustHave Essential operates the marketplace infrastructure. Except where expressly stated otherwise, MustHave Essential does not manufacture, own, inspect, or directly fulfil every product listed by Vendors. Customers should therefore review the Vendor and product information before completing an order.

19. Changes to the Platform

We may modify, suspend, or discontinue parts of the Platform where reasonably necessary for operational, legal, security, technical, or commercial reasons.

20. Changes to These Terms

We may update these Terms from time to time. Continued use of the Platform after an updated version becomes effective constitutes acceptance of the updated Terms where applicable.

21. Governing Law

These Terms shall be interpreted in accordance with the laws applicable in the Federal Republic of Nigeria. Any dispute shall be handled in accordance with applicable Nigerian law and the dispute-resolution provisions applicable to the relevant transaction or agreement.
